Spokit Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and PodFlyy LLC ("PodFlyy," "Spokit," "we," "us," or "our") governing your access to and use of the Spokit mobile application for iOS (the "App") and related services, together with spokit.app (collectively, the "Service"). These Terms are published at spokit.app/terms.

Please read these Terms carefully. By downloading, accessing, or using Spokit, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and Acceptance

You must be at least 13 years old to use Spokit, and at least 16 if you are in the EEA (or the minimum age of digital consent in your country), or older where required by local law or the App Store. By using the Service, you represent that you meet these requirements, that you can form a binding contract with us, and that you will comply with these Terms and all applicable laws. If you use the Service on behalf of another person, you represent that you are authorized to accept these Terms for them.


3. The Service

Spokit is a language-learning application. It turns typed or spoken practice prompts into phrase cards, translations, word-by-word ("token") analysis, optional audio pronunciation, and spaced-repetition review. Spokit uses automated systems, speech processing, and third-party AI providers to generate this content.

The set of supported languages and features may change over time as content is added, updated, or retired. Spokit is a study aid; it is not a professional translation, education, immigration, medical, legal, financial, or safety service. Generated content, including translations and pronunciations, may be incomplete or incorrect, and you are responsible for reviewing it before relying on it.


4. Accounts and Authentication

To use most features, you create an account using Sign in with Apple, Google sign-in, or, where offered, an email/password or guest flow. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and for keeping your devices secure. Some features, such as subscription restore and cross-device continuity, require signing in with a stable account. Notify us at support@spokit.app if you suspect unauthorized use of your account.

You may delete your account at any time from Profile → delete account. Deleting your account removes your Spokit account and associated learning data as described in our Privacy Policy, except limited information we must retain for legal, security, tax, billing, or fraud-prevention reasons. Deleting your Spokit account does not cancel an active App Store subscription (see Section 5).


5. Subscriptions, Auto-Renewal, Free Trial, and Credits

Spokit is free to download. Spokit Pro is an auto-renewing subscription sold and billed through the App Store. The following terms apply to all Spokit Pro subscriptions.

5.1 Subscription Titles, Length, and Price

Spokit Pro is offered in two subscription options:

Prices are shown in the App before purchase and may be presented in your local currency and adjusted for your region and applicable taxes. The prices above are the U.S. reference prices.

5.2 Free Introductory Trial

Eligible new subscribers may receive a 7-day free trial of Spokit Pro through the weekly or monthly option, offered as an Apple introductory offer where available across App Store territories. Trial eligibility is determined by Apple and is shown only when the App Store reports you are eligible. If you are not eligible, the applicable subscription price is charged when you confirm the purchase.

If you purchase a subscription during a free trial, any unused portion of that free trial is forfeited. During the trial, your Pro access includes the trial credit allowance described in Section 5.5.

5.3 Billing, Auto-Renewal, and Cancellation

Apple, not PodFlyy, manages App Store billing, renewals, cancellations, refunds, and subscription settings. Deleting your Spokit account does not cancel Apple billing; cancel through your Apple ID settings.

5.4 Legacy Products

An earlier annual product (spokit_pro_annual) is no longer sold and may remain active only for existing subscribers who previously purchased it. New subscriptions are offered only through the weekly and monthly options.

5.5 Credits (Creation Allowance)

Spokit Pro is a capped-credit plan, not an unlimited plan. Each subscription period grants a periodic creation-credit allowance:

Credits are a limited license to use in-app features (for example, generating phrase analysis or transcribing speech). Credits are not money, stored value, or a transferable balance; they are not redeemable for cash or any other value; and they expire or reset with the applicable subscription or trial period and do not roll over except as the App may expressly provide. We may adjust credit costs, allowances, rate limits, and feature availability over time, subject to applicable law and App Store rules.


6. Apple-Specific Terms

These Terms are between you and PodFlyy only, and not with Apple. The following terms apply because you obtained the App from the App Store:

  1. Not a party; third-party beneficiary. Apple is not a party to these Terms and is not responsible for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
  2. Standard EULA. Your license to use the App is also subject to the Apple Licensed Application End User License Agreement ("Apple Standard EULA"), except to the extent these Terms grant you broader rights, in which case these Terms govern. You must also comply with the Apple Media Services Terms and Conditions.
  3. Maintenance and support. PodFlyy, not Apple, is solely responsible for providing maintenance and support for the App, to the extent required by these Terms and applicable law.
  4. Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the App's purchase price to you (which for a free app is zero); Apple otherwise has no other warranty obligation.
  5. Product claims. PodFlyy, not Apple, is responsible for addressing any claims relating to the App, including product-liability, legal/regulatory-compliance, and consumer-protection claims, to the extent not attributable to your misuse.
  6. Intellectual property claims. PodFlyy, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.
  7. Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.

7. User Content and License

You own your Content. You retain all rights you already hold in the Content you submit. You are responsible for your Content and for having the rights necessary to submit it.

License to operate the Service. You grant PodFlyy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, transform, and display your Content solely as needed to operate, provide, secure, and improve the Service for you — for example, to generate phrase cards, translations, token analysis, and audio, and to sync your progress. This license is limited to running the Service and ends when you delete the relevant Content or your account, except for content already removed from active systems that persists in routine backups for a limited period, or that we must retain by law.

Your learner-generated phrase cards are private to your account and are not published to other learners. Approved seed and language-pack content may use shared app infrastructure separately from your private content.

You are responsible for reviewing generated Content before relying on it. We may rate-limit, reject, or remove Content or access where reasonably needed for safety, reliability, billing, security, legal compliance, or policy enforcement.


8. Acceptable Use

You agree not to:

  1. Use the Service to create, upload, or request content that is unlawful, harmful, harassing, abusive, defamatory, exploitative, privacy-invasive, or that infringes others' rights.
  2. Submit private, sensitive, confidential, or regulated information that you do not want processed by the Service and its providers; practice prompts and recordings are for language practice, not for storing secrets or sensitive records.
  3. Reverse engineer, decompile, scrape, overload, disrupt, or attempt to gain unauthorized access to the App, backend, subscription systems, or any AI/speech provider, except to the extent this restriction is prohibited by applicable law.
  4. Circumvent credit, rate-limit, security, or entitlement controls, or resell or commercially exploit the Service without our permission.
  5. Use the Service to violate any law or the rights of any third party, or to build a competing dataset or model from the Service's outputs in violation of these Terms or provider terms.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service, other users, or third parties.


9. Intellectual Property

The Service, including the App design, software, branding, text, graphics, user interface, and infrastructure, is owned by PodFlyy or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial language learning. These Terms do not transfer any ownership of the Service or our intellectual property to you. "Spokit" and related logos are marks of PodFlyy; you may not use them without our prior written permission.


10. Third-Party Services

The Service relies on third-party providers (including Apple, Google, and our backend, subscription, AI, speech, and email providers) described in our Privacy Policy. Your use of those services may also be governed by their own terms and policies. We are not responsible for third-party services, and their availability may affect the Service.


11. Availability and Changes to the Service

We may change, limit, suspend, or discontinue features, supported languages, prices, credits, limits, providers, or content at any time, subject to applicable law and App Store subscription rules. We are not liable to you for any modification, suspension, or discontinuation of the Service, except as required by law.


12. Disclaimers of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT GENERATED CONTENT (INCLUDING TRANSLATIONS, PRONUNCIATIONS, OR EXPLANATIONS) WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODFLYY AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR SERVICE INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.


14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless PodFlyy and its officers, members, employees, and agents from any claims, damages, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.


15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law or the App Store, or if reasonably necessary to protect the Service or others. Upon termination, your license to use the App ends. Sections that by their nature should survive termination — including Sections 7 (as to licenses in retained content), 9, 12, 13, 14, 16, and 17 — will survive. Termination does not entitle you to a refund except as required by law or Apple's policies.


16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws principles, and excluding the U.N. Convention on Contracts for the International Sale of Goods. This choice of law does not deprive consumers in the EEA, UK, or other regions of the protection of mandatory consumer-protection laws of their place of residence.

Informal resolution first. Before filing any claim, you agree to contact us at support@spokit.app and attempt to resolve the dispute informally for at least 30 days.

Venue. Except where prohibited by applicable law, you and PodFlyy agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in the State of Delaware, and you and PodFlyy consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief for infringement or misuse of intellectual property, or from bringing an eligible claim in small-claims court.


17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" above and, where appropriate, provide notice in the App or by email. Your continued use of the Service after the changes take effect means you accept the revised Terms. If you do not agree, stop using the Service and, if applicable, cancel your subscription and delete your account.


18. General

These Terms, together with the Privacy Policy and the Apple terms referenced above, are the entire agreement between you and PodFlyy regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
